Terms of Service

Effective October 27, 2026

These Terms of Service ("Terms") apply when you use linkseed.ai or sign up for services from Vernon Enterprise One, LLC, a Pennsylvania limited liability company doing business as LinkSeed Ai ("LinkSeed," "we," "us"). If you become a client, you will also sign our Client Service Agreement (or, for LinkSeed Business, a Master Client Agreement and Statement of Work). If these Terms and your signed agreement disagree, your signed agreement controls.

1. What we do

LinkSeed sets up, customizes, and manages personal Ai assistants for real estate agents, teams, brokerages, and other small businesses. Your personal Ai assistants run inside your own Grok Bot account, which you open and pay for directly. We do not sell or resell any software. Other tools you connect, such as email, calendar, or storage, are also paid for separately by you.

The 2, 3, 5, and 7 assistant plans cover one licensed agent. Each plan includes monthly updates and up to 2 hours of changes or new tasks a month; unused hours do not roll over. Work beyond that is $375 an hour, or quoted before we start. LinkSeed Business work is quoted individually in a Statement of Work. Fees do not include any sales or use taxes that may apply.

3. Setup fees

Every plan has a one-time setup fee, billed when you sign up. It pays for customizing your personal Ai assistants to you. Setup fees are not refundable once setup work has started. If you move to a higher plan later, you pay the difference between the two plans' setup fees.

4. Billing through Stripe

Monthly fees are billed in advance, on the same date each month, by card through Stripe. Your card details are handled by Stripe, not stored by LinkSeed. If a payment fails and is not fixed after we notify you, we may pause your services until the account is current, and we may end service for an account that stays unpaid. We will give at least 30 days' written notice before any change to your monthly fees.

5. 3-month minimum and cancellation

3-month minimum. Personal Ai assistant plans have a minimum term of 3 months from your start date. If you cancel before the 3 months are up, the monthly fees for the rest of the minimum term are still due.
30 days' notice. After the minimum term, your plan continues month to month, and either of us may cancel with 30 days' written notice (email is fine). Service and billing continue through the end of the notice period.
Changing plans. You may move to a higher plan at any time, effective at your next billing date or sooner if you ask. A move to a lower plan takes effect at a billing date after notice.

6. Founding Members offer

A select few founding clients, chosen by LinkSeed, may be offered our Founding Members offer. It is by invitation only and is confirmed in a signed Founding Client Addendum. Founding Members get:

No setup fee for the plan selected when they join.
First month free (100% off), applied with a promo code at checkout.
30 days risk free: cancel within 30 days of your service start date by emailing [email protected] and owe nothing, even if the minimum term or notice period would otherwise apply.

If a Founding Member does not cancel within 30 days, the 3-month minimum applies from the service start date, with months 2 and 3 billed at the standard rate. The offer and promo code are personal, cannot be transferred or combined with other discounts unless we agree in writing, and have no cash value.

7. Your responsibilities

Review and approve everything before it is sent, posted, or published. You are responsible for anything that goes out under your name.
Follow your brokerage's policies, MLS rules, fair housing laws, real estate advertising rules, and laws on texting, calling, and emailing consumers, including anti-spam rules.
Own or have permission to use any photos and materials you send us.
Keep your own accounts secure, and give us accurate information and timely listing updates.
Complete your setup steps. Your personal Ai assistants depend on you finishing the steps we ask for, such as connecting accounts, granting access, answering setup questions, and approving settings. If a step is not done, the related feature may not work, and LinkSeed is not responsible for results that depend on it.
Keep your calendar and records current. Your personal Ai assistants work from the information you give them. Keep your calendar, contacts, listings, transactions, receipts, and other records up to date and accurate.
Review what your personal Ai assistants produce. Check reports, logs, summaries, drafts, and reminders, and tell us promptly if something looks wrong. You are responsible for decisions made using these outputs.

License to LinkSeed's playbooks and templates. The playbooks, instructions, prompts, templates, workflows, and setup materials LinkSeed creates ("LinkSeed Materials") belong to LinkSeed. While your service is active and your account is paid, you have a limited, non-transferable license to use LinkSeed Materials for your own business. You may not sell, share, copy for others, or give them to anyone outside your business. This license ends automatically when your service ends or if your account is not paid.

After cancellation or nonpayment. When the license ends, you must stop using LinkSeed Materials and delete them from your Grok Bot account and any other place you keep them, within 10 days. If you keep using LinkSeed Materials after that, that use counts as continued service, and you agree to pay LinkSeed's current monthly rate for your plan for each month (or part of a month) of continued use.

Remedies.

Written confirmation of deletion. Within 10 days of the end of service, you confirm to LinkSeed by email that all LinkSeed Materials have been deleted.
Continued-use billing. Continued use of LinkSeed Materials after the license ends is a fee for continued service, billed at LinkSeed's current monthly rate for your plan for each month (or part of a month) of continued use.
Reinstatement of setup fee. If you keep using LinkSeed Materials after ending service and later want service back, LinkSeed's current setup fee applies again.
Injunctive relief. LinkSeed may ask a court to stop unauthorized use or sharing of LinkSeed Materials without posting a bond, in addition to any other remedies.
Collection costs and attorney's fees. You will pay the reasonable collection costs and attorney's fees LinkSeed incurs to enforce this section.
Late charge. Unpaid amounts carry a late charge of 1.5% per month or the maximum allowed by law, whichever is less.
Right to verify. LinkSeed may ask for reasonable confirmation, such as a screen share, that LinkSeed Materials were removed.
Set damages for sharing. If you share LinkSeed Materials with anyone outside your business, you agree to pay LinkSeed, as set damages and not as a penalty, an amount equal to the setup fee plus 3 months of fees.

8. Ai and third-party services

Our services use tools from other companies, including your Grok Bot account, email and calendar providers, payment processors, and other Ai tools. We do not control their prices, uptime, or terms and are not responsible for their outages or changes. Ai tools can make mistakes, so please check names, dates, prices, deadlines, and contract details before relying on or sending anything.

Mileage tracking. LinkSeed does not guarantee that mileage logs are accurate or complete. Mileage tracking only works if you (a) put every business appointment on your calendar, with a correct address, (b) give your personal Ai assistants view access to that calendar and keep it connected, and (c) review the mileage logs regularly and fix anything that is wrong or missing. Trips that are not on your calendar will not be logged. Distances are estimates from mapping tools and may not match the route you actually drove. You are responsible for the final mileage records you keep or give to your CPA or tax preparer, and LinkSeed is not responsible for any lost deductions, tax issues, or other results from incomplete or incorrect mileage logs.

9. No guarantee of results; limits of liability

We do not promise any number of views, leads, clients, listings, closings, or sales. LinkSeed is not a real estate broker and does not give legal, tax, or financial advice. LinkSeed's total liability for all claims is limited to the fees you paid LinkSeed in the 3 months before the event that gave rise to the claim, and LinkSeed is not liable for lost profits, commissions, clients, or deals, or for indirect or consequential damages.

Taxes. LinkSeed does not prepare, file, or review taxes, and we do not give tax advice. Any bookkeeping help from your personal Ai assistants, such as sorting receipts, tagging expenses, tracking income, or building summaries, is there to keep your records organized for you and your CPA or tax preparer. You and your tax professional are responsible for all tax information, tax reporting, filings, payments, deadlines, and decisions. LinkSeed is not responsible for any tax errors, penalties, interest, missed deductions, or other tax results, including any that come from records your personal Ai assistants helped organize.

10. Ending service

When service ends, for any reason, including cancellation or nonpayment:

What we do. Within 30 days, we help you disconnect the personal Ai assistants we set up, confirm we have no remaining access to your accounts, and delete our copies of your data, except records we must keep by law.
What you do. Your license to LinkSeed's playbooks, templates, and other LinkSeed Materials ends. Within 10 days, you stop using them, delete them from your Grok Bot account and anywhere else you keep them, and confirm deletion by email.
Continued use. If you keep using LinkSeed Materials after that, it counts as continued service and is billed at our current monthly rate for your plan, and the remedies in the license section apply (reinstated setup fee, injunctive relief, collection costs and attorney's fees, late charge, right to verify, and set damages for sharing).
What stays yours. Your Grok Bot account, your other accounts, and your own data stay yours. Your Grok Bot subscription is between you and Grok Bot; cancel it with them directly if you no longer want it.
Amounts still due. Ending service does not cancel fees already owed, including any remaining months of the minimum term or notice period.

11. General

These Terms are governed by the laws of the Commonwealth of Pennsylvania, with any court case in the state or federal courts serving Berks County, Pennsylvania. We may update these Terms by posting a new version here; your signed agreement governs your active service.
